Podcast Sponsorship Agreement

This Sponsorship Agreement (“Agreement”), dated 10/08/2024, is entered into by and between UnAccountable ("Publisher"), and Specialized Accounting ("Advertiser").

1. Purpose This Agreement confirms that the Advertiser is entering into a binding agreement with the Publisher for the purchase of specified online and broadcast advertising under the following terms:

2. Advertising Terms Subject to the terms and conditions of this Agreement, during the agreed term, the Publisher shall provide, and the Advertiser shall purchase, advertising services as detailed herein.

   2.1 Publisher Review The Publisher will notify the Advertiser of any objections to advertisements or their creative components as soon as reasonably possible, allowing for amendment or replacement by the Advertiser within the agreed deadlines.

   2.2 License The Advertiser grants the Publisher a limited, royalty-free, non-exclusive, non-transferable, and non-sublicensable license to use Advertiser's Intellectual Property for reproducing, publishing, and distributing each advertisement in accordance with this Agreement and any accepted Insertion Order.

3. Advertisements Details of the advertisements to be purchased are listed in Addendum A, attached hereto.

4. Price and Payment 4.1 The Advertiser agrees to pay in advance for advertisements. Cancellations require a 30-day notice. 4.2 Late payments will incur additional fees as detailed in this section. 4.3 Payment methods are outlined in INSERT PAYMENT OPTION.

5. Advertiser Responsibilities The Advertiser shall provide necessary collateral, including brand logos and advertisement verbiage, to the Publisher via email.

6. Representations and Warranties Both parties represent their legal status, authority to enter this Agreement, and compliance with relevant laws.

7. Miscellaneous This Agreement constitutes the entire understanding between the parties, superseding all prior agreements. It is subject to written modifications and is binding on successors and assigns.

8. Confidentiality Terms of this Agreement are confidential and disclosure is limited to essential personnel.

9. Governing Law and Jurisdiction This Agreement is governed by the laws of Utah.

10. Limitation of Liability The Publisher's total liability is limited to the compensation received under this Agreement.

11. Non-Discrimination The Publisher adheres to non-discriminatory practices in advertising sales and employment.
